This Commercial License Agreement (“Agreement”) is made between [Pedro Veloso] (“Licensor”) and [You] (“Licensee”). This Agreement governs the use of the software project titled [Android Digital Photo Album] (“Software”) for any commercial purpose.
The Licensor hereby grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Software for commercial purposes, subject to the terms and conditions set forth in this Agreement.
Any use of the Software, or any part thereof, for commercial purposes, including but not limited to distribution, modification, sublicensing, or incorporation into commercial products, requires the prior written authorization of the Licensor. The Licensee must contact the Licensor to negotiate the terms and obtain the necessary permissions.
The specific terms, including but not limited to licensing fees, royalties, distribution rights, support services, and any other conditions, shall be determined through a separate written agreement between the Licensor and the Licensee. These terms must be agreed upon in writing before any commercial use of the Software is initiated.
Until such time as a commercial license has been granted:
• The Licensee may not distribute, sublicense, or otherwise make the Software available for commercial use.
• The Licensee may not incorporate the Software into any proprietary products intended for sale or for-profit services.
• The Licensee may not use the Software to provide commercial hosting, Software-as-a-Service (SaaS), or other for-profit services.
The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, losses, and expenses arising out of or related to the Licensee’s unauthorized commercial use of the Software.
The Licensor reserves the right to terminate this Agreement immediately upon the Licensee’s breach of any term or condition herein. Upon termination, the Licensee must cease all commercial use of the Software and destroy any copies in their possession.
